Nash Finch Elects Two New Board Members, Amends Stock Plan
MINNEAPOLIS -- Food distributor Nash Finch Co. yesterday re-elected four incumbent directors and elected two new directors to its board during its annual shareholder meeting.
Dr. Carole Bitter, John Grunewald, William Voss, and William Weintraub, incumbent directors, and new director Douglas Hacker, were elected to three-year terms expiring in 2008. New director Mickey Foret was elected to a two-year term expiring in 2007.
Foret is president of Aviation Consultants, LLP, and previously served as e.v.p. and c.f.o. Northwest Airlines. Hacker is e.v.p., strategy, for UAL Corporation, and previously served as UAL's e.v.p. and c.f.o. "Both Foret and Hacker bring a breadth and depth of experience, particularly financial expertise, which should serve us well as this company continues to grow," said Nash Finch c.e.o. Ron Marshall. "We are delighted that the shareholders have voted to add them to our board."
Shareholders also approved amendments to the Nash Finch’s 2000 stock incentive plan that will increase plan shares by 1 million and enable the company to implement a performance-based long-term incentive program. The amendments specify that the shares to be added to the plan may only be used to make performance unit awards, and must be issued from shares that the Company purchases in the open market or otherwise holds in treasury.
Nash Finch's food distribution business serves independent retailers and military commissaries in 28 states, the District of Columbia, Europe, Cuba, Puerto Rico, Iceland, the Azores and Honduras. The Company also owns and operates retail stores primarily in the Upper Midwest.
